General Terms and Conditions of Sale

1. Definitions

Hereinafter the words used in this document have the following meanings;

"Seller" means Asteknik Muhendislik,
"Buyer" means any person or company which places order to buys products from Seller,
"Product(s)" mean any products sold by Seller to Buyer which are the subject of the Order,
"Order" means any type of contract or instruction between Seller and Buyer for the sale of the Products,
"Production Lead Time" means the period between the receipt of Order and the products are ready for shipment.

2. General

In case of any conflict or inconsistency between the terms and conditions of sale herein and the terms and conditions contained in Buyer’s order or in any other form issued by Buyer, Seller’s terms and conditions herein shall prevail.

3. Price

The offer price can be quoted in American Dollar (USD) or EURO (EUR) as per Buyer's choice.

4. Minimum Order Value (MOV)

Order value for one order lot must be minimum 1,000.00 Euro or 1,350.00 USD in EXW Istanbul base.

5. Minimum Order Quantity (MOQ)

For ex-stock sales MOV will be enough for acceptance of Order.

For products out of stock Seller will inform the Buyer for MOQ.

For any type of standard pack Product, Order quantity must be multiples of standard packing quantity.

6. Handling Charge

For orders less than 5,000.00 Euro or 6,500.00 USD in EXW Istanbul base, Seller charges 180.00 Euro or 250.00 USD from the Buyer as “Handling Charge”

For orders exceeding those amounts, “Handling Charge” will be paid by the Seller.

7. Delivery

As per Buyer's inquiry, Seller can deliver the Products in any delivery mode except DDP. All delivery modes are subject to rules defined in Incoterms 2010.

For sales in FCA Istanbul base with air or land transport, delivery place of the Products will be the airport or warehouse of the transport company within Istanbul.
For sea transport delivery place of the Products will be Asteknik's Istanbul warehouse.

If transport will be organized by the Buyer, when the Order is ready Seller notifies the Buyer via mail to make necessary arrangements for the delivery.Buyer must immediately make all necessary arrangements and inform the Seller about the details to perform the delivery as agreed.

If the delivery fails to be performed maximum in 10 days after notification date due to the reasons occurred by Buyer or its affiliates , Seller charges to the Buyer storage fee on daily basis.

8. Payment

Unless otherwise agreed, all payments shall be made in advance by bank transfer. All costs associated with the bank transfer shall be borne by Buyer.

9. Offering & Ordering Process

Offering and ordering process shall be performed as follows;

a. Buyer requests an offer specifying the Product codes, quantities, delivery mode etc.
b. Seller sends a proforma invoice involving all necessary information.
c. If Buyer accepts the offer, sends its Purchasing Order to the Seller and transfers the order amount to Seller's bank account.
d. Seller acknowledges the Buyer the receipt of payment and places the order into production system.

Production Lead Time starts the next day after receipt of payment at Buyer's bank account.

If the Buyer has to approve the technical drawings, Production Lead Time starts the next day after receipt of payment at Buyer's bank account or after the receipt of approved technical drawings which one occurs later.

10. Packing

Standard packing is included in prices. For extra packing inquires extra packing cost will be charged to Buyer.

11. Product Compatibility

All products delivered must be in strict compliance with Seller's technical drawings and specifications. However, before an order is placed, Seller reserves the right of modifying the composition and/or the model of the products featured its standard range without a prior notice.

12. Samples

Samples inquired by the Buyer will be prepared by Seller at Seller’s standard sample lengths for free of charge. Buyer must bear the courier charges.

13. Warranty

Seller's standard Warranty conditions are applied to all sales.

14. Claims

Any claim for product deficiency, damage or shortage must be made in writing within a reasonable time but not later than 15 days after receipt of products at destination.

15. Excusable delay

Seller shall not be liable for any failure of delivery or delay in the delivery of any Products caused by acts of God, lighting strike, earthquakes, floods, storms, explosions, fires, and any natural disaster, acts of war, acts of public enemies, terrorism, riots, civil commotion, malicious damage, sabotage and revolution or governmental acts or orders or restrictions.

16. Cancellation of order

Order in process for Seller's standard products can not be canceled or modified except with the written approval of Seller. In such case, cancellation charge can not be less than 25% of total price of order. Orders of custom made products such as entrance mats can not be canceled.

17. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of Turkey.

18. Revisions

If any revision referring to this document is made,  it will be published on Seller's web site and the revision date stated below will be updated.
